Powers of attorney to receive goods, regardless of whose name they are drawn up, have the usual written form that does not require notarization.
For example, a power of attorney for receiving goods or goods and materials issued on behalf of an individual is drawn up in free form and certified only by the personal signature of the principal. This document, in accordance with Article 185 of the Civil Code of the Russian Federation, can be issued either directly to a third party who will ship (delivery, etc.) of the goods, or to a representative for presentation at the place of demand.

Powers of attorney from legal entities are usually drawn up, in accordance with Resolution of the State Statistics Committee of Russia No. 71a of October 30, 1997, according to unified forms M-2 and M-2a. In addition to unified forms, legal entities can also use their usual form of powers of attorney - provided that all the necessary details are indicated - this does not contradict the law.

It should be said that a power of attorney to receive goods and materials must necessarily contain an indication of specific goods or other valuables indicating their quantity that the authorized person is supposed to receive. If goods are received according to an invoice, specification for a contract or other document containing a complete list of those goods to be received, it is permissible not to list all the values ​​to be received in the power of attorney itself. But in this case, it must contain an indication of such a document.

It is also important to note that, regardless of the form in which the power of attorney to receive goods is drawn up (free or unified), a mandatory condition for the validity of the power of attorney is to indicate the date of its preparation. If this requirement is not fulfilled, the power of attorney is considered void - and therefore does not entail the rights or obligations of the parties.

How to correctly draw up a power of attorney to receive cargo in 2021


As discussed above in the article, templates of types No. 2 and No. 2-a are often used to issue a power of attorney to receive cargo. What is the difference between a power of attorney for individuals and legal entities?


Powers of attorney for individuals and legal entities are indeed different. Only this difference is not entirely huge and consists of differences in information about the attorney.

For legal entities, the following information is indicated:

  • Organizational and legal form and name;
  • Registration data, date of entry of the legal entity into the Unified State Register of Legal Entities, name of the body that registered;
  • Legal address.

For individuals, the following information is required:

  • FULL NAME;
  • Passport data (who issued the passport and when, series, number);
  • Place of residence.

Remember! Most often, when a legal entity transfers a power of attorney to another legal entity, such an agreement has the presence of subassignment. At the moment of such cooperation, the company that is the authorized representative begins to possess the functions of a specific employee.

Duration of the power of attorney


Currently there are no restrictions on the validity period of a power of attorney for cargo. This moment will be determined only by the principal. Regardless of the validity period, the document drawn up by the main party can be revoked by it at any time convenient for it. The validity period of a document is usually indicated in the document, but in cases where the period is not specified, such a document is still considered valid. In such cases, the document is considered valid for exactly one year from the date of its preparation.

Remember! If the representative has the task of picking up and delivering the cargo once, then it would be advisable to make a one-time power of attorney, which will last a couple of days. If the management is confident in the person and the delivery of cargo or goods needs to be carried out on an ongoing basis, then drawing up a general power of attorney for a period of one year will be considered more profitable, in some cases it is issued even for more than one year.

An enterprise can develop its own form of power of attorney to receive goods.
Typically, a document is developed using Microsoft Word. When issuing a power of attorney on the letterhead of a legal entity, information about the organization (OGRN, INN, legal address), the name of the manager or other person authorized to issue powers of attorney, and the name of the document on the basis of which the latter acts is indicated. Next, the personal data of the representative must be indicated: last name, first name, patronymic, date of birth, details of the identity document, address of residence. Then the order should be described in detail, indicating the list of goods to be received, and the rights of the representative, indicating the right to sign delivery notes or other documents that accompany the acceptance of the goods.

Instructions for filling out a power of attorney to receive cargo

  • At the beginning of the document the word “Power of Attorney” and its number according to internal document flow are written. The next line indicates the locality in which the document is drawn up, as well as the date it was completed (day, month (in words), year).
  • Next, the details of the principal - a legal entity - are entered into the power of attorney: the full name of the enterprise (indicating its organizational and legal form).
  • Then you should write the position of the employee on whose behalf this document is being drawn up (usually the director, general director of the organization or another person authorized to sign), his last name, first name, patronymic (first name and patronymic can be indicated as initials), as well as the document on on the basis of which the principal acts (“Based on the Charter”, “Regulations”, etc.).
  • After this, personal information regarding the representative is entered: his last name, first name, patronymic, passport data (series, number, when and by whom it was issued).
  • The next part of the power of attorney relates directly to those instructions that the representative is authorized to perform. If there are a lot of instructions, then it is advisable to indicate them in separate paragraphs with clear wording.
  • In the penultimate line you should enter the validity period of the power of attorney or the date until which the power of attorney is valid.

After entering the above information, the authorized person puts his signature on the document, which must be certified by the head of the principal company. He also signs the power of attorney and, if necessary, puts the seal of the organization. Some powers of attorney are required to be certified by notaries, but this does not apply to this type - here a simple signature and seal of the principal is sufficient, however, the absence of which is allowed if the organization operates without it.

In essence, powers of attorney for receiving goods and materials from legal entities and individuals are almost identical.
The only difference is in the person who certifies the power of attorney and the information about the principal that must be indicated in the document. When issuing a power of attorney by an individual, its content remains the same, and information about the principal must contain his last name, first name and patronymic, date of birth, as well as information about the identity document (number and series, date of issue, name of the issuing authority and department code) and place of residence. If a citizen is registered as an individual entrepreneur, his TIN should be indicated; In addition, in this situation, the power of attorney is certified by the seal of the individual entrepreneur (if available).

A power of attorney from an individual to receive goods can also be drawn up in free form (simple written form). However, even if you refuse a unified power of attorney, you must indicate the following information in it:

  3. FULL NAME. the person writing the power of attorney and full name. the person receiving this authority; information about your identity document and place of residence.
  4. Information about the product received - name, contract information.

A free power of attorney can be printed or handwritten. There is no need to have it specially certified by a notary.
